End User License Agreement (EULA)

1. Agreement to Terms

This End User License Agreement ("Agreement") is a legally binding agreement between you ("User", "Customer", "you") and Ampracore Technologies Pvt. Ltd. ("Ampracore", "Company", "we", "us", or "our") governing your access to and use of the Ampracore MRP/ERP software platform, website, and related services (collectively, the "Software").

By accessing, registering for, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.

2. Description of Software

Ampracore is a cloud-based, AI-powered Manufacturing Resource Planning (MRP) and Enterprise Resource Planning (ERP) system that provides business management tools including but not limited to:

• Inventory management
• Production planning
• Procurement and supply chain management
• Accounting integrations
• Analytics and AI-driven insights
• Third-party integrations (including but not limited to QuickBooks)

3. License Grant

Subject to your compliance with this Agreement, Ampracore grants you a:

• Limited
• Non-exclusive
• Non-transferable
• Non-sublicensable

license to access and use the Software solely for your internal business operations during your active subscription period.

This Agreement does not grant you ownership of the Software.

4. Restrictions

You agree NOT to:

1. Copy, modify, distribute, sell, lease, or sublicense the Software
2. Reverse engineer, decompile, or attempt to extract source code
3. Use the Software for unlawful purposes
4. Attempt to gain unauthorized access to the system
5. Use the Software to build a competing product
6. Remove proprietary notices or branding

5. User Accounts

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activity under your account
• Ensuring your users comply with this Agreement

Ampracore is not liable for unauthorized access resulting from your failure to secure your credentials.

6. Subscription and Fees

Access to the Software may require payment of subscription fees. By subscribing, you agree to:

• Pay all applicable fees
• Provide accurate billing information
• Authorize recurring charges if applicable

Failure to pay may result in suspension or termination of access.

7. AI Functionality Disclaimer

Ampracore includes AI-powered features that provide automated insights, recommendations, and analytics.

You acknowledge that:

• AI outputs are generated automatically
• Results may not always be accurate or complete
• You are responsible for verifying outputs before making business decisions

Ampracore shall not be liable for decisions made based on AI-generated results.

8. Third-Party Integrations (Including QuickBooks)

The Software may integrate with third-party services such as QuickBooks.

You acknowledge:

• Use of third-party services is subject to their own terms and policies
• Ampracore is not responsible for third-party service availability, security, or performance
• Data shared with third-party integrations is subject to your authorization

Ampracore does not own or control QuickBooks or other third-party platforms.

9. Data Ownership

You retain ownership of all data you input into the Software ("Customer Data").

You grant Ampracore a limited license to:

• Host
• Process
• Analyze
• Transmit

Customer Data solely for providing and improving the Software.

We do not sell your data.

10. Intellectual Property

All intellectual property rights in the Software, including:

• Code
• AI models
• Algorithms
• Trademarks
• Branding
• Documentation

remain the exclusive property of Ampracore.

No rights are granted except as expressly stated.

11. Confidentiality

Both parties agree to protect confidential information shared during the use of the Software and not disclose it to third parties except as required by law.

12. Termination

This Agreement is effective until terminated.

We may suspend or terminate your access if:

• You violate this Agreement
• You fail to pay subscription fees
• Required by law

Upon termination, your right to use the Software ceases immediately.

13. Disclaimer of Warranties

The Software is provided "AS IS" and "AS AVAILABLE."

Ampracore disclaims all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

We do not guarantee uninterrupted or error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law:

Ampracore shall not be liable for:

• Indirect damages
• Lost profits
• Business interruption
• Data loss

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold Ampracore harmless from claims arising out of:

• Your misuse of the Software
• Violation of this Agreement
• Violation of laws or third-party rights

16. Governing Law

This Agreement shall be governed by the laws of [Insert Country/State].

Any disputes shall be resolved in the courts of [Insert Jurisdiction].

17. Changes to Agreement

Ampracore may update this Agreement from time to time. Continued use of the Software after changes constitutes acceptance of the revised Agreement.
